Our Story

How Amanah Counsel Came to Be

Amanah Counsel was founded in Petaling Jaya with a straightforward purpose: to serve businesses that need reliable contract support without navigating an overly complicated or impersonal legal engagement. The firm takes its name from the Malay concept of amanah — trust, responsibility, and the faithful discharge of obligations — values we believe should sit at the heart of any professional advisory practice.

From the outset, the practice has focused on three areas where businesses consistently encounter difficulty: drafting new commercial agreements, understanding the risks embedded in existing contracts, and navigating negotiations with well-resourced counterparties. We work with companies of varying sizes across sectors including technology, manufacturing, distribution, and professional services.

Our Mission

What We Work Toward

Our mission is to make professional contract advisory accessible and comprehensible for Malaysian businesses — not by simplifying legal substance, but by communicating it clearly and working collaboratively with the people who depend on it.

We do not aim to be the largest firm in the region. We aim to be the most considered. Each engagement is approached with the care of a practice that takes professional responsibility seriously and values the commercial relationships our clients place in our hands.

Our Standards

All legal personnel are members in good standing of the Malaysian Bar and subject to its professional conduct rules and disciplinary processes.

Strict Confidentiality

Client information and contract materials are kept confidential at all stages of engagement. Non-disclosure obligations are embedded in our standard terms.

Malaysian Law Compliance

All drafted agreements are reviewed for consistency with the Contracts Act 1950, relevant industry legislation, and current regulatory requirements in Malaysia.

Structured Review Process

Each contract undergoes a multi-stage internal review before delivery — covering legal accuracy, clarity of language, commercial alignment, and enforceability.

Data Protection Compliance

Client data is handled in accordance with Malaysia's Personal Data Protection Act 2010. Access is restricted to authorised personnel only.

Transparent Communication

Clients receive regular progress updates, clear explanations of substantive decisions, and a defined point of contact throughout each engagement.

Our Expertise

Contract Advisory Tailored to Malaysian Commercial Realities

Commercial contracts in Malaysia operate within a legal landscape that has continued to evolve in response to changes in trade relationships, digital commerce, and cross-sector regulatory requirements. Businesses entering supplier arrangements, formalising service terms, or structuring distribution networks all face the same underlying challenge: agreements must be clear enough to be relied upon when circumstances change, and robust enough to withstand scrutiny in a dispute context.

At Amanah Counsel, we take the position that good contract work begins well before the first draft. The briefing process matters — understanding the commercial intent, the parties' respective leverage, the likely points of friction, and the applicable standards under Malaysian law shapes every drafting decision. That orientation toward the client's actual business situation, rather than document production alone, is what distinguishes advisory from clerical work.

Our practice covers the full range of commercial contract types common to the Malaysian business environment: supply and procurement agreements, distribution and agency arrangements, service level and outsourcing contracts, technology licensing, joint development terms, and partnership or shareholder-adjacent operational agreements. Where cross-border elements are present — a growing consideration for Malaysian exporters and companies dealing with multinational counterparties — we incorporate appropriate governing law and jurisdiction provisions.

For businesses managing existing contract portfolios, our audit and risk assessment service offers a structured approach to identifying exposure before it becomes a liability. Companies preparing for due diligence, seeking to renegotiate with vendors, or simply looking to understand what their agreements actually commit them to will benefit from the remediation-focused output our engagements provide.
